By accessing the website you agree to use it responsibly and to treat all project material as informational until confirmed in signed documents.

1. Scope

These Terms and Conditions govern your access to and use of the Crays Mercedes Island website and related legal pages, project pages, contact links, application forms, investment-intake routes, hospitality-intake routes, linked AMIHAN pages and Crays ecosystem references.

Where you use a separate AMIHAN, Crays, booking, wallet, app, partner, exchange, payment, token, fund, hospitality or investment service, that service may be governed by separate terms. If a signed agreement, subscription agreement, booking confirmation, investor document, token document, shareholder document, joint venture agreement or local operating rule conflicts with these website terms, the more specific written document controls for that subject.

2. Legal entities and project context

This website presents Mercedes Island / Apuao Grande Island in the Philippines as an AMIHAN project and in the wider Crays ecosystem context. Current project documentation references AMIHAN Limited (BVI), AMIHAN Innovations Limited BVI and AMIHAN Corporation BVI in relation to the AMIHAN land treasury and project materials. Crays Business Nomads Association is referenced for the Crays ecosystem, brand and community context.

The exact legal entity responsible for a booking, token, land interest, investment round, joint venture, operating agreement, asset transfer or local service will be the entity named in the relevant written document.

3. Informational content only

Website content is provided for general information. It may describe concepts, plans, visuals, commercial models, values, timelines, tokens, ownership structures, land treasury ideas, hospitality concepts, ecosystem products and future services that remain subject to diligence, legal documentation, permits, final agreements, technical development, market conditions and local execution.

No content on this website is financial advice, investment advice, legal advice, tax advice, accounting advice, valuation advice, real estate advice, immigration advice or a recommendation to buy, sell, subscribe for, hold or otherwise deal in any token, security, membership, land interest, company interest, booking product or other asset.

Access and acceptable use

The old Crays terms cover account, content and wallet risks. This version keeps that logic but fits the current project website.

4. Eligibility and access

You must be at least 18 years old, legally capable of entering into binding terms and permitted to access this website under the laws applicable to you. Some project, investor, booking, app, token, wallet, community or venue features may require additional eligibility checks, KYC/AML checks, sanctions screening, accreditation checks, membership approval, local permits, risk acknowledgements or other onboarding steps.

5. Acceptable use

You agree not to use this website, contact routes, forms, materials, images, documents, social channels or linked services to:

break applicable law or regulation;
misrepresent your identity, affiliation, authority, investment status or project rights;
upload, send or request unlawful, harmful, misleading, defamatory, infringing, abusive, harassing, obscene, discriminatory, violent or privacy-invasive content;
attempt unauthorized access to accounts, systems, wallets, forms, servers, media or project data;
interfere with website security, availability, rate limits, embedded services or third-party platforms;
scrape, copy, train, resell, redistribute or commercially exploit content without permission;
use the site for spam, phishing, malware, impersonation, fraud, market manipulation, sanctions evasion or money laundering.

6. Accounts, Nostr, wallets and keys

The Crays ecosystem may reference Nostr identity, Lightning payments, hosted wallet concepts, self-custody, portable profiles, access credentials and local mesh or venue services. If any such service is activated for you, you are responsible for securing your private keys, account credentials, devices, email accounts and recovery material. Loss of keys, compromised accounts or unauthorized transactions can lead to permanent loss of access or funds.

Self-custody, hosted wallet, payment, token, app and exchange features may be operated by separate providers and may be subject to additional terms, fees, limits, taxes, compliance checks and irreversible transaction rules.

7. User submissions and communications

If you send an inquiry, form submission, pitch, image, concept, business plan, proposal, comment, social message or other material, you confirm that you have the right to share it. You grant the project team, AMIHAN, Crays and relevant partners a non-exclusive right to review, store, route and use that material for the purpose of evaluating, responding to and progressing your request.

Do not send confidential, regulated, sensitive or proprietary information unless a separate confidentiality agreement or secure intake process has been agreed.

Risk

Investment, token and project risk

AMIHAN materials describe tokenized land, land treasury models and project financing. These areas carry real risk.

8. No public offering

This website does not constitute a prospectus, offering memorandum, solicitation, public offering, investment invitation, crowdfunding offer, token sale, securities offer or binding investment document in any jurisdiction. Any investment, token, land, membership, fund, joint venture or ownership opportunity will be available only through specific documents and only to eligible persons where legally permitted.

9. Tokenized asset and real estate risk

Tokenized assets, land treasury structures, real estate projects, hospitality operations, early-stage ventures and digital assets involve significant risks. These may include loss of all capital, illiquidity, valuation uncertainty, smart contract bugs, custody loss, regulatory change, tax exposure, permitting delays, construction delays, natural events, operating losses, counterparty risk, cybersecurity incidents, exchange risk, token volatility and market failure.

Past performance, projected revenue, estimated IRR, land valuation, token utility, planned yield, visual concepts, partner discussions or strategy descriptions do not guarantee future results.

10. Island access, bookings and hospitality

Visits, previews, bookings, events, construction tours, filming, partner activations and island access are subject to availability, confirmation, payment, weather, transport, local law, safety conditions, privacy rules, environmental limits, guest conduct, venue rules and operational readiness. Access can be refused, changed, postponed or cancelled where required for safety, compliance, weather, operations or project reasons.

11. Third-party services

This website may link to or embed third-party services such as Google Maps, social networks, messaging services, Vercel hosting infrastructure, booking services, Crays ecosystem websites, AMIHAN properties, wallets, payment providers, analytics providers and partner pages. We do not control third-party content, security, uptime, processing, fees or terms.

Warranties and changes

12. No warranty

The website and its content are provided on an "as is" and "as available" basis. We do not warrant that the website, content, media, forms, maps, downloads, linked services, project data or communications will be accurate, complete, current, uninterrupted, secure, error-free or suitable for your purpose.

13. Limitation of liability

To the maximum extent permitted by law, AMIHAN, Crays, their affiliates, contributors, officers, team members, partners and service providers will not be liable for indirect, incidental, special, consequential, punitive or exemplary damages, loss of profits, loss of revenue, loss of opportunity, loss of data, loss of goodwill, service interruption, investment losses, token losses or losses caused by reliance on website content.

Nothing in these terms excludes liability that cannot legally be excluded.

14. Indemnity

You agree to indemnify and hold harmless AMIHAN, Crays and relevant affiliates, officers, team members, contributors, partners and service providers from claims, losses, liabilities, damages, costs and expenses arising from your misuse of the website, breach of these terms, infringement of rights, unlawful conduct or inaccurate information supplied by you.

15. Changes

We may update these terms and the website at any time. The updated version applies when posted unless a separate written agreement states otherwise. You should review the legal pages regularly when using the website, contacting the project team or considering any booking, investment, token, membership or partner route.

16. Governing law and contact

These website terms are interpreted in line with the applicable laws and mandatory consumer, data protection, investment, securities, real estate and local operating rules that apply to the relevant entity, user, transaction and service. Specific contracts may choose their own governing law and dispute forum.
